The Government of Kenya (GoK) has received financing from the World Bank's International Development Assistance (IDA) towards the cost of the Kenya Petroleum Technical Assistance Project (KEPTAP) whose overall objective is to strengthen the capacity of the Government of Kenya to manage its petroleum sector and wealth for sustainable development. It is intended that part of the proceeds of this credit be applied to eligible payments under the contracts for provision of consulting services of an advisor to co-ordinate work stream with London Stock Exchange towards public listing of National Oil Corporation for the Ministry of Energy and Petroleum. The term of this consultancy will be 1 year, renewable subject to performance and need. Under the supervision of the MoEP senior leadership, the consultant will among others carry out the following specific tasks which include but not limited to the following services:

1. Review of the signed MOU between LSG and MOEP and provide necessary advise to the MOEP

2. Lead the MOEP works stream as identified in the six work streams spelt out in the MOU

3. Drive the inter-working groups and coordinate information sharing while taking charge of any action point developed in the working streams.

4. If necessary, set up and coordinate the activities of any sub-working group in support of the necessary action points, and drive the inter-work stream co-ordination. Each work stream may involve setting up of sub-working groups that meet on a regular basis.

5. The IPO Advisor will manage and coordinate on behalf of MOEP the core objectives of the work streams which includes;

 a. Capital Raising - Equity: Dual listing of Kenya's State Oil Company and other energy related government entities; listing of a closed-ended fund on LSE, proceeds invested into the Energy and Petroleum industry in Kenya

 b. Capital Raising - Debt: Development of a strategy for the listing of the following fixed income asset classes- in London and in Nairobi for the following products;

• Eurobonds

• Kenyan Shilling Bonds

• Green Bonds

• Islamic Bonds (Sukuk)

c. ELITE -Support for private sector supply chain companies - Bespoke programme for upstream Oil and Gas companies (supply chain private sector companies) Development of a platform to help, growing indigenous companies in the sector better prepare and structure for further growth and external investment. ELITE facilitates long-term structured engagement between ambitious growing businesses, entrepreneurs, experts and the corporate advisory and investor communities. ELITE aims to build confidence and create aspiration for the enterprises that join, making them part of an ecosystem that supports innovation, entrepreneurship an4tt growth at all stages of business

d. LSEG Academy - training modules for Ministry officials and senior management of key parastatals, Creation of bespoke training courses for Ministry officials and management of state owned companies as a prelude to listing on domestic and international markets. Training to cover. inter alia, disclosure and transparency requirements, corporate governance expectations, understanding of listing rules. roles of Independent non-executive directors.

The Ministry of Energy and Petroleum now invites eligible Individual Consultants to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services by submitting a curriculum vitae and an expression of interest.
